Complete Terms and Conditions & Merchant Subscription Agreement for Donum

1. Introduction and Acceptance

1.1 The Agreement

Welcome to Donum. These Terms and Conditions, inclusive of the Merchant Subscription Agreement herein (collectively, the "Terms," "Agreement"), constitute a legally binding contract between you and Dodo Soft ("Donum," "we," "us," "our") governing your access to and use of the digital loyalty platform, website, dashboard, and all related services (the "Service" or "Platform") available at https://donum.dk.

1.2 Binding Contract

By (i) accessing or browsing our website; (ii) registering for a free trial or demo; (iii) clicking "I Accept" or similar during the Merchant sign-up; or (iv) using the Service as a Customer to collect stamps or redeem rewards, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are acting on behalf of a company or other legal entity, you represent that you have the authority to bind that entity. If you do not agree with any part of these Terms, you must not access or use the Service.

1.3 Modifications

We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the updated Terms on our website and updating the "Last Updated" date. For active Merchant subscribers, we will additionally provide notice via the email associated with your account at least thirty (30) days prior to changes that adversely affect your subscription rights. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of them.

2. Definitions

  • "Customer" or "End-User": An individual who participates in a Merchant's loyalty program via the Service to collect digital stamps and redeem Reward Vouchers.
  • "Merchant," "You," "Business User": A business entity that subscribes to the Service to create, manage, and operate a digital loyalty program for its customers.
  • "Merchant Data": All data, information, and content a Merchant inputs, uploads, or generates via the Service, including customer contact information, transaction history, and stamp records.
  • "Platform": The Donum website, web application, admin dashboard, NFC integration system, and all related software and services.
  • "Reward Voucher": The digital coupon, discount, or free item issued by the Platform on behalf of a Merchant to a Customer upon completion of a stamp card.
  • "Service": Collectively refers to the entire Donum digital stamp card platform as described in these Terms.

3. Description of the Donum Service

Donum provides a frictionless, digital loyalty and customer retention platform designed to turn happy customers into loyal regulars. The Service enables:

For Merchants: To create and manage digital stamp card programs; provide Customers with a simple NFC-scan method to collect stamps; issue digital Reward Vouchers automatically; and access a real-time admin dashboard with insights on customer retention, stamp tracking, and program performance.

For Customers: To participate in Merchant loyalty programs without needing a separate app, using their smartphone to scan, collect stamps, and redeem rewards directly with the Merchant.

4. Account Registration and Security

4.1 Merchant Account

To use the Service as a Merchant, you must complete the registration process, provide accurate and complete business information, and maintain the accuracy of this information. You are responsible for all activities conducted under your account.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use or security breach.

4.3 Customer Participation

Customer access to a specific loyalty program is granted by the inviting Merchant. Customers may be required to provide contact information (e.g., phone number) to participate. Their use is governed by these Terms and the specific rules of the Merchant's program.

5. Merchant Subscription Agreement

This Section 5 details the commercial subscription terms and is an integral part of this Agreement for all Merchant users.

5.1 Subscription Plans and Fees

  • Plans: We offer tiered subscription plans ("Plans"), as detailed on our Pricing Page (https://donum.dk/pricing). Plans specify features, including the number of active stamp cards, admin users, and support levels.
  • Subscription Fee: You agree to pay the monthly or annual fee specified for your chosen Plan (the "Subscription Fee").
  • Payment: You must provide a valid payment method. You authorize us to charge it for all fees. Fees are billed in advance. All fees are exclusive of applicable taxes (e.g., VAT), which will be added to your invoice.
  • Fair Use: Plans are subject to reasonable usage limits. Exceeding typical volumes for your Plan may require an upgrade.

5.2 Term and Automatic Renewal

Your subscription begins on your purchase date and continues for the initial term (monthly/annual). It will automatically renew for successive terms unless you cancel before the renewal date. The Subscription Fee for the renewal term will be charged to your payment method on file.

5.3 Cancellation and Termination

  • By Merchant: You may cancel your subscription at any time via your admin dashboard or by contacting support. Cancellation is effective at the end of your current billing period. No prorated refunds are provided.
  • Welcome Package Fee: Upon signing up, each Merchant receives a welcome package including a physical NFC card, provided free of charge as part of the onboarding. Your subscription includes a free trial period. If you choose to cancel your subscription at any time, a one-time fee of 300 DKK will be charged to your payment method on file to cover the cost of the welcome package.
  • By Donum: We may suspend or terminate your subscription for material breach of these Terms (including non-payment) with immediate effect.

5.4 Price Changes

We may change Subscription Fees. We will provide active Merchants at least thirty (30) days' notice via email before changes apply to a renewal term. Your continued use after the change effective date constitutes acceptance.

5.5 Service Modifications

We may add, modify, or remove features to improve the Service but will not materially reduce the core functionality of your current Plan during your active subscription term.

6. Intellectual Property Rights

6.1 Ownership by Donum

The Service, its original content (excluding Merchant Data), features, functionality, the Donum name, logo, and all related intellectual property are the exclusive property of Donum and its licensors, protected by copyright, trademark, and other laws. Your use of the Service grants you no right, title, or interest in these assets.

6.2 Merchant Data License

You retain all rights to your Merchant Data. By using the Service, you grant Donum a worldwide, non-exclusive, royalty-free license to use, host, process, and display Merchant Data solely for the purpose of providing, securing, and improving the Service.

6.3 Feedback

Any suggestions, ideas, or feedback you provide regarding the Service are voluntary. You grant us a perpetual, irrevocable license to use such feedback for any purpose without obligation or compensation.

7. Data Protection and Privacy

7.1 Privacy Policy

Our collection and use of personal data is governed by our Privacy Policy (https://donum.dk/privacy), which is incorporated into these Terms by reference. The Privacy Policy explains how we handle data for both Merchants and Customers.

7.2 Merchant's Data Responsibility

As a Merchant, you are an independent data controller for the personal data of your Customers that you collect and process via the Service. You agree to:

  • Comply with all applicable data protection laws (e.g., GDPR).
  • Provide appropriate privacy notices to your Customers.
  • Lawfully obtain necessary consents for data processing.
  • Respond to Customer data subject requests pertaining to your loyalty program.

Donum acts as a data processor for such data, as detailed in our Data Processing Agreement (DPA), which is incorporated for Merchant users.

8. Merchant Responsibilities and Conduct

8.1 Loyalty Program Management

You are solely responsible for:

  • Setting the terms of your loyalty program (purchase requirements, reward nature, expiration policies).
  • Fulfilling all Reward Vouchers issued under your program.
  • Ensuring your program complies with all local consumer protection, advertising, and promotion laws.

8.2 Prohibited Activities

You agree not to use the Service to:

  • Violate any applicable law or regulation.
  • Infringe upon the intellectual property or other rights of any third party.
  • Transmit any malicious code, viruses, or harmful content.
  • Operate a loyalty program that is fraudulent, misleading, or promotes illegal goods/services.

9. Customer Rewards and Relationship with Merchant

9.1 Merchant-Customer Contract

The Service facilitates but is not a party to the loyalty contract between a Merchant and a Customer. The issuance of a stamp or Reward Voucher creates a direct obligation solely between the Merchant and the Customer. Donum is not responsible for a Merchant's failure to honor a reward.

9.2 Redemption

Customers must redeem Reward Vouchers directly with the issuing Merchant, subject to that Merchant's policies and availability.

10. Disclaimer of Warranties and Limitation of Liability

10.1 Service "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, DONUM EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

  • DONUM SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
  • DONUM'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY THE MERCHANT TO DONUM IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. FOR CUSTOMERS OR USERS ON A FREE PLAN, OUR MAXIMUM LIABILITY SHALL NOT EXCEED €50.

11. Indemnification

You agree to indemnify, defend, and hold harmless Donum, its officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to: (i) your use of the Service; (ii) your violation of these Terms; (iii) your loyalty program terms or the fulfillment of rewards; or (iv) your violation of any third-party right or applicable law.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any dispute arising from them shall be governed by and construed in accordance with the laws of Denmark, without regard to its conflict of law principles.

12.2 Informal Resolution

We encourage you to contact us first at legal@donum.dk to resolve any dispute informally.

12.3 Venue

If informal resolution fails, any legal action or proceeding shall be brought exclusively in the competent courts of Copenhagen, Denmark. Both parties consent to personal jurisdiction there.

13. General Provisions

13.1 Entire Agreement

These Terms constitute the entire agreement between you and Donum regarding the Service and supersede all prior agreements and communications.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full force and effect.

13.3 Assignment

You may not assign your rights under these Terms without our prior written consent. We may assign our rights and obligations freely.

13.4 Force Majeure

We are not liable for any failure or delay in performance due to causes beyond our reasonable control.
